1.1 Corporate Structure: Turnkey Dashboards is a proprietary commercial delivery product developed and operated by Mindset Studios, a digital services entity under parent company Bullock Enterprises.

1.2 The Intelligence Engine: The analytical frameworks, automated summaries, prioritization criteria, and scoring methodologies delivered through the Services are powered by True Web Intelligence (TWI), the proprietary intelligence discipline of Mindset Studios. Turnkey Dashboards serves as the delivery platform and visualization interface through which customers receive True Web Intelligence outputs.

1.3 Nature of the Deliverable: Data is not the product; intelligence, interpretation, and prioritization constitute the product. The Services provide business decision support, trend identification, and strategic guidance, delivered via digital interfaces.

2. Eligibility, Account Authority, and Credentials

2.1 Eligibility: You must be at least 18 years of age and legally competent to enter into commercial contracts to use the Services.

2.2 Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, login links, client portal access tokens, and embedded shortcode keys. You must immediately notify Mindset Studios of any unauthorized account access or security breach.

2.3 Authorized Representation: When connecting third-party analytics, web properties, or search tools to the Services, you represent and warrant that you are the lawful owner or authorized administrative agent of those properties.

3. Service Delivery, Embed Shortcodes, and Licensing Scope

3.1 Delivery Mechanism: Turnkey Dashboards delivers its reporting and analytics visualizations via secure iframe embedding, direct client portal access, email distributions, or proprietary WordPress shortcodes provided to you following checkout.

3.2 Property & Domain Allocation:

• Each standard subscription license (Essential, Professional, Performance) authorizes data connectivity and shortcode embedding for one (1) primary website domain or property, unless an expanded agency or multi-site license is explicitly granted in writing.
• Professional Tier monitoring includes technical SEO health tracking for up to twenty-five (25) designated core URLs and query tracking for up to fifty (50) top search terms.
• Performance Tier tracking accommodates standard e-commerce implementations (up to 500 SKUs) and single-store configurations. Multi-store, enterprise catalog, or custom multi-touch attribution environments require a custom statement of work.

3.3 License Grant: Subject to continuous payment of required subscription fees, Mindset Studios grants you a limited, non-exclusive, revocable, non-sublicensable, and non-transferable license to access the Services and display the embedded dashboard strictly on the authorized domain for your internal business purposes.

3.4 Paywall & Access Suspension: Access to embedded dashboards and live data feeds is conditioned upon an active, paid subscription handled via WooCommerce Subscriptions. If a recurring subscription charge fails or is canceled, Mindset Studios reserves the right to automatically deploy an opaque paywall overlay or deactivate the shortcode embed, immediately restricting dashboard visibility until the account is returned to good standing.

4. Professional Setup vs. Recurring Subscriptions

4.1 Professional Setup Add-On: Connecting Google Analytics 4 (GA4), Google Search Console (GSC), WooRank audits, and configuring WordPress embed shortcodes requires administrative configuration. Customers may perform self-onboarding using provided documentation or purchase the optional Professional Setup service.

4.2 Independent Service Nature: Professional Setup is an independent, one-time configuration and onboarding service. Purchasing Professional Setup does not waive, offset, or replace ongoing recurring subscription fees. Because administrative labor and verification are initiated immediately upon purchase, Professional Setup fees are fully earned upon engagement and are strictly non-refundable.

5. Customer Data, API Access, and Authorizations

5.1 Data Authorization: To deliver intelligence reports, you authorize Mindset Studios to access, query, extract, organize, and visualize data from your connected properties (including GA4, GSC, Google Lighthouse, WooRank, and connected e-commerce or social platforms).

5.2 Customer Ownership: You retain exclusive ownership of all proprietary data, metrics, and content residing within your underlying analytics and search accounts (“Customer Data“). Mindset Studios claims no ownership rights over Customer Data.

5.3 Principle of Least Privilege: You are strongly advised to grant delegated, read-only administrative access rather than sharing primary account passwords. We reserve the right to decline credentials provided through unencrypted or insecure communication channels.

5.4 Commercial Restrictions: Mindset Studios will never sell Customer Data to third parties, broker analytics records, or use identifiable Customer Data to train public, generalized third-party artificial intelligence models without your prior written authorization.

6. Third-Party Platforms, APIs, and Data Availability

6.1 Platform Dependencies: The Services rely on APIs, data streams, and scoring feeds operated by independent third parties, including Google LLC and WooRank.

6.2 No Platform Control: Third parties may alter API schemas, adjust attribution models, enforce query quotas, apply data sampling or thresholding, or experience outages without notice. Mindset Studios is not liable for data gaps, discrepancies, metric redefinitions, reporting delays, or service interruptions caused by third-party platforms.

7. Intellectual Property and Proprietary Frameworks

7.1 Mindset Studios IP: Mindset Studios retains all right, title, and interest in and to the Services, the Turnkey Dashboards platform, True Web Intelligence methodologies, software, code snippets, shortcode generators, visual styling, dashboard layouts, executive summary templates, and documentation.

7.2 Signature Recommendation Engine: You expressly acknowledge that the Turnkey Action & Recommendation Card framework (including its layout, impact scoring, difficulty/effort grading, recommended issue ownership assignments, estimated improvement benchmarks, and next-step execution logic) represents proprietary intellectual property and trade secrets of Mindset Studios.

7.3 Restrictions: You shall not:

• Decompile, reverse engineer, disassemble, or derive source code from any portion of the Services;
• Resell, rent, lease, white-label, or commercially distribute the dashboard embeds or recommendation cards to third parties without an authorized Agency/Enterprise Agreement;
• Copy, scrape, or systematically reproduce dashboard presentation frameworks to build a competing visualization product.

8. Analytics Disclaimers and Non-Causation

8.1 Informational Decision Support Only: All metrics, scores, alerts, forecasts, and Turnkey Action Cards are provided strictly for business planning and decision support. They do not constitute certified legal, financial, tax, or professional accounting records.

8.2 No Performance Guarantees: Mindset Studios expressly disclaims any guarantee, express or implied, that using the Services, implementing Action Cards, or following True Web Intelligence recommendations will produce:

• Any specific search engine ranking, position increase, or featured snippet on Google or other search engines;
• Inclusion, citation, or brand referencing in generative AI models, Answer Engine Optimization (AEO), or Generative Engine Optimization (GEO) answer interfaces;
• Increases in organic impressions, website traffic, conversion rates, click-through rates (CTR), revenue, or business profitability.

8.3 Non-Causation Phrasing: Historical performance improvements, correlation data, and before-and-after metrics reported by the Services reflect observations that coincided in time with specific technical or content adjustments. Mindset Studios makes no representation that such adjustments were the direct or sole cause of observed performance shifts.

9. Acceptable Use and Customer Obligations

9.1 Lawful Operation: You agree to use the Services in full compliance with all applicable federal, state, and international laws and regulations.

9.2 Implementation Responsibility: You retain exclusive operational and technical control over your website. You are solely responsible for reviewing, testing in staging environments, verifying, and executing any technical changes, SEO schema modifications, image optimizations, or code adjustments suggested by Turnkey Dashboards. Mindset Studios is not liable for technical defects, website downtime, layout shifts, or lost sales resulting from your execution of recommendations.

10. Fees, Automatic Renewal, and Billing

10.1 Recurring Billing: Subscriptions are billed on a recurring monthly or annual basis via WooCommerce and authorized payment gateways (e.g., Stripe, PayPal). You authorize Mindset Studios to automatically charge your designated payment method for all applicable recurring fees until formally canceled.

10.2 Automatic Renewal: Monthly plans renew on the same calendar day each month; annual plans renew automatically every twelve (12) months. You must cancel prior to the scheduled renewal timestamp to avoid recurring charges.

10.3 Price Modifications: We reserve the right to modify subscription pricing. Any price change affecting active recurring subscriptions will be preceded by reasonable electronic notice prior to implementation.

11. Cancellation and Termination

11.1 Self-Service Cancellation: You may cancel your subscription at any time through your customer account portal on the Turnkey Dashboards website.

11.2 Effect of Cancellation: Cancellation halts future automatic renewals. Access to the dashboard, data refreshes, and shortcode embeds will continue through the conclusion of the paid billing cycle, after which access will terminate and the embed paywall will activate.

11.3 Termination for Cause: Mindset Studios may suspend or terminate access immediately without notice if you materially breach these Terms, engage in payment fraud, violate intellectual property rights, or subject our infrastructure to security threats.

12. Limitation of Liability

12.1 CONSEQUENTIAL DAMAGES WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINDSET STUDIOS, BULLOCK ENTERPRISES, TURNKEY DASHBOARDS, NOR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF REPUTATION, LOSS OF DATA, OR WEBSITE DOWNTIME, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 AGGREGATE LIABILITY CAP: THE TOTAL AGGREGATE LIABILITY OF MINDSET STUDIOS AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO MINDSET STUDIOS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE OCCURRENCE OF THE LIABILITY EVENT.

13. Indemnification

You agree to defend, indemnify, and hold harmless Mindset Studios, Bullock Enterprises, Turnkey Dashboards, and their respective owners, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, penalties, and reasonable legal expenses (including attorney’s fees) arising from: (a) your violation of these Terms; (b) your unauthorized provision of access or credentials to connected third-party platforms; (c) changes made to your website or business operations pursuant to dashboard recommendations; or (d) your infringement of any third-party intellectual property or privacy right.

14. Governing Law, Dispute Resolution, and Venue

14.1 Governing Law: These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the substantive laws of the Commonwealth of Virginia, without giving effect to any choice or conflict of law principles.

14.2 Informal Resolution: Prior to initiating formal litigation, the parties agree to make a good-faith effort to resolve the dispute informally by delivering a written Notice of Dispute detailing the issues and allowing a thirty (30) day negotiation window.

14.3 Exclusive Jurisdiction: Any formal legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in the Commonwealth of Virginia. You irrevocably consent to the personal jurisdiction and venue of such courts.

15. Miscellaneous

15.1 Entire Agreement: These Terms, together with the Privacy Policy, Refund and Cancellation Policy, Cookie Policy, and Disclaimer and Data Accuracy Policy, constitute the entire agreement between the parties concerning the Services.

15.2 Severability: If any provision of these Terms is deemed unlawful, invalid, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Mindset Studios may assign these Terms in connection with a corporate reorganization, merger, acquisition, or sale of business assets.
